4. Service Availability
We strive to provide continuous service availability but cannot guarantee uninterrupted access. We reserve the right to modify, suspend, or discontinue services with or without notice. We are not liable for any loss or damage resulting from service interruptions.
5. Intellectual Property Rights
Our Intellectual Property
All content, features, and functionality of our services, including but not limited to text, graphics, logos, software, and design, are owned by CloudStier Solutions and are protected by intellectual property laws.
Client Intellectual Property
We respect your intellectual property rights. Any materials, data, or information you provide remain your property. We will only use such materials as necessary to provide our services.
Work Product
Unless otherwise agreed in writing, intellectual property rights in work products created specifically for clients will be transferred to the client upon full payment of fees.
6. Payment Terms
- Fees are due as specified in individual service agreements
- Late payments may incur additional charges
- All fees are non-refundable unless otherwise specified
- We reserve the right to suspend services for non-payment
- Prices are subject to change with notice
7. Confidentiality
We understand the importance of confidentiality in business relationships. We commit to:
- Maintaining confidentiality of all client information
- Using client information only for service delivery
- Implementing appropriate security measures
- Requiring confidentiality agreements from our staff
- Not disclosing confidential information to third parties
8. Limitation of Liability
To the maximum extent permitted by law, CloudStier Solutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, or business interruption.
Our total liability for any claims arising out of or relating to these terms or our services shall not exceed the amount paid by you for the specific service giving rise to the claim.
9. Indemnification
You agree to indemnify and hold harmless CloudStier Solutions from any claims, damages, or expenses arising from your use of our services, violation of these terms, or infringement of any third-party rights.
10. Termination
Either party may terminate services with appropriate notice as specified in individual service agreements. We reserve the right to immediately terminate services for breach of these terms. Upon termination:
- All obligations under active agreements continue until fulfilled
- Payment obligations for services rendered remain due
- Confidentiality obligations survive termination
- We may delete or return client data as requested
11. Governing Law
These terms shall be governed by and construed in accordance with the laws of India. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts in Bangalore, Karnataka, India.
12. Force Majeure
We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, pandemic, government regulations, or technical failures.
13. Modifications to Terms
We reserve the right to modify these terms at any time. Updated terms will be posted on our website with a new "Last updated" date. Your continued use of our services after such modifications constitutes acceptance of the updated terms.
14. Severability
If any provision of these terms is found to be unenforceable or invalid, the remaining provisions will continue to be valid and enforceable to the fullest extent permitted by law.
